CLEAR FOUNDATIONS
Terms and Conditions
The foundation for working together: clear tasks, transparent agreements, and room for good ideas. For business customers only. Last updated: October 9, 2026.
1. Provider and scope
Your contracting party is Armen Geworgjan, trading as CHIC IDEA, Regierungsstraße 37 D, 39104 Magdeburg, Germany. Contact: info@chicidea.de, phone 0391 50380874.
My services are offered exclusively to businesses within the meaning of Section 14 of the German Civil Code (BGB) that place orders for their commercial or independent professional activities. Contracts with consumers are not offered.
These Terms and Conditions apply to the services commissioned under the relevant contract if they were incorporated before the contract was concluded. Individual agreements take precedence. Any differing terms of the client apply only to the extent that I agree to their inclusion.
2. Offers and formation of contracts
This website presents my services. An order is formed by acceptance of a binding offer or by a mutually agreed order confirmation. A nonbinding inquiry alone does not create a paid commission.
The scope of services, fees, payment schedule, timeframe, and essential prerequisites are recorded in the offer or order confirmation. An offer states the period for which it is binding. I document agreements in text form, for example by email. The precedence of individual agreements actually made remains unaffected.
Paid workshops, analyses, drafts, or concepts are expressly agreed in advance. Such costs do not arise automatically from an initial contact.
3. Scope of services and project basis
I provide the specifically commissioned services in brand development, design, content, websites, online stores, configurators, web applications, AI, automation, interfaces, hosting, and support. The list of possible services on this website does not replace an agreement on services.
When creating an agreed deliverable, I am required to provide the specified work result. For consulting and ongoing services, I am required to perform the agreed activities professionally. The actual agreement and statutory provisions are decisive.
Revision rounds, file formats, source code handover, documentation, supported systems, and tests are determined to suit the project. Subsequent additions require a separate agreement. A specific revenue, search engine ranking, or commercial outcome is owed only if expressly promised.
4. Cooperation and supplied content
The client provides the necessary information, content, access, and decisions in good time and designates a person authorized to make binding arrangements. In particular, the client checks its company, product, and pricing information, as well as technical statements, before approval.
The client must hold the rights required for the agreed use of supplied images, text, brands, data, and other materials. The client informs me of any known restrictions. This does not affect my responsibility for the services I am required to provide.
Access details and personal data are transmitted through agreed, appropriate channels. Login credentials are treated confidentially and used only to the extent necessary. The processing of customer data, particularly in hosting, maintenance, and AI projects, is clarified separately before use.
5. Changes, deadlines, and approvals
I assess change requests for their effort and impact on the schedule. I agree any additional fees and revised deadlines with the client before carrying out the work. Correcting a defect for which I am responsible is not a chargeable addition.
Binding deadlines are expressly agreed. If the project is delayed because the client has not provided the required cooperation or made agreed advance payments, I explain the impact and agree on an adjusted process. The statutory rights of both parties remain in force.
Approvals relate to the version presented and the apparent subject of the review. An approval does not generally waive statutory liability for defects that could not be identified. For print and production orders, the data to be checked and the production approval are expressly agreed.
6. Fees, advance payments, and third-party costs
Prices, billing arrangements, and payment deadlines are set out in the relevant offer or contract. Net prices quoted to business customers are subject to the VAT required by law.
An advance payment or billing by project stage is often agreed. The amount, due date, and, where applicable, commencement of work after receipt of payment are determined for each order. These Terms and Conditions do not set a fixed advance payment percentage.
Unless otherwise agreed, due dates and progress payments are governed by statutory provisions. Statutory rights apply in the event of late payment, particularly Section 288 BGB; no additional flat reminder fee is specified here.
Hosting, domain, license, AI usage, telephony, advertising, and other third-party costs are allocated and transparently agreed in advance. The same applies to travel expenses. I enter into contracts in the client’s name only when authorized to do so.
7. Handover, acceptance, and defects
For work subject to acceptance, I make the agreed result available for review and coordinate its handover. The client reviews it within a reasonable period against the agreed scope and reports any identified defects clearly.
Acceptance and any deemed acceptance are subject to the statutory requirements, particularly Section 640 BGB. No blanket automatic declaration that the work is free of defects after two weeks is agreed.
Statutory claims apply in the event of defects. I am given the opportunity to provide the necessary remedy where required by law. New functions that were not commissioned, later changes to third-party systems, or subsequent modifications made by the client are assessed according to their actual cause; an intervention does not eliminate all rights relating to defects.
8. Usage rights, files, and licenses
After full payment, the client receives the usage rights needed for the agreed purpose in the legally protectable results I created for that purpose. Exclusivity, geographical and time restrictions, and special exploitation rights are specified in the offer. Unless specifically restricted, use for the client’s agreed own business presence is unlimited in time and territory.
The agreed scope of editing and maintenance remains possible. The scope of services specifies which editable design files, source files, or source code will be handed over. No blanket prohibition on all subsequent editing or support by third parties is agreed.
Third-party materials, fonts, standard software, and open-source components are subject to their respective license terms. These Terms and Conditions do not restrict those terms. Purely AI-generated results may lack intellectual property protection; exclusive rights or legal protectability are not generally guaranteed for them.
I agree any publication as a reference with the client. Confidential content, personal data, or unpublished projects are not published for self-promotion without the relevant approval.
9. Hosting, maintenance, and ongoing support
The scope, fees, term, termination, backups, recovery, response times, and any availability commitments are set out in the separate support or hosting agreement. Continuous availability or an around-the-clock emergency service is not owed unless agreed accordingly.
Together we determine which components will be maintained, who manages access, and which important functions will be checked after changes. Major further development or the repair of issues caused by third parties is included only to the agreed extent.
The scope of backups and recovery methods are agreed according to the data being supported. My responsibility for expressly undertaken backup services remains in force. On termination, we coordinate the necessary handover of data, domains, and access; statutory rights to surrender and retention remain unaffected.
10. AI, automations, and external systems
Before implementation, we define the use case, approved data sources, providers involved, permitted actions, and required approvals. Costs, access rights, technical limitations, and handoffs to people are documented to suit the task.
AI outputs may be incorrect or incomplete. We agree suitable checks and approvals for binding commitments, publications, or other consequential steps. My responsibility for setup in accordance with the contract and for the commissioned checks remains in force.
Confidential or personal data may be transferred to external systems only within the agreed and legally permitted scope. Required data processing agreements and responsibilities are clarified before the relevant processing begins.
Changes to third-party interfaces, models, pricing plans, or access terms may require adjustments. I inform the client of foreseeable effects on ongoing services. Whether additional work is covered by the existing commission depends on the contract; additional costs are agreed in advance.
11. Liability
Statutory liability provisions apply. In particular, these Terms and Conditions do not limit liability for intent, gross negligence, injury to life, body, or health, or mandatory statutory claims.
No blanket limitation of all claims to the invoice amount or comprehensive exclusion of liability for commissioned third-party services is agreed. Guarantees are assumed only through an express commitment to that effect.
12. Contract termination and final provisions
Termination, withdrawal, and billing for services provided up to termination are governed by the relevant agreement and statutory provisions. These Terms and Conditions do not establish a uniform minimum term or automatic contract renewal for all projects.
Confidential information remains confidential after the project ends. The privacy notice and, where applicable, a data processing agreement also apply to personal data.
German law applies. Mandatory statutory provisions remain unaffected. Jurisdiction is governed by statutory rules. If individual provisions are invalid, the statutory provisions apply in their place; the remainder of the contract continues in accordance with the law.
